Terms of Service
Please read these terms carefully before utilizing our OEM/ODM manufacturing services or placing a wholesale order with Tansfit.
Last Updated: October 2023
Welcome to Tansfit ("Company", "we", "our", "us"). These Terms of Service govern your access to and use of our website (www.tansfitness.com) and our B2B fitness equipment manufacturing, OEM/ODM, and related supply chain services. By accessing our website, requesting a quotation, or placing an order, you agree to be bound by these Terms.
1 Acceptance of Terms
By engaging with Tansfit for manufacturing services, requesting factory quotes, or placing purchase orders, you acknowledge that you are an authorized representative of a business entity and agree to these B2B terms. These terms supersede any prior agreements or standard purchasing terms provided by the buyer unless explicitly agreed upon in writing by Tansfit management.
2 Orders & Minimum Order Quantity (MOQ)
All orders are subject to acceptance by Tansfit based on current capacity across our 9 production lines. An order is considered confirmed only upon the issuance of a Proforma Invoice (PI) and receipt of the required deposit.
- MOQ Requirements: Minimum Order Quantities vary by product category, material availability, and customization requirements. Standard MOQs will be clearly communicated during the quoting process.
- Sample Orders: Sample evaluation is highly recommended prior to mass production. Sample fees and courier freight are the responsibility of the buyer, but standard sample fees may be credited toward future bulk orders at our discretion.
- Cancellations: Once production has commenced (raw materials purchased or assembly lines scheduled), orders cannot be canceled without incurring costs equivalent to the work completed and materials consumed.
3 OEM/ODM Customization & Intellectual Property
We provide extensive custom manufacturing services designed to help large retailers and brand owners differentiate in competitive markets.
- Client IP: You retain all rights to your trademarks, logos, and proprietary tech packs provided to us. You warrant that any designs or branding supplied do not infringe on third-party intellectual property rights globally.
- Factory IP: Pre-existing designs, open molds, and manufacturing processes developed internally by Tansfit remain our exclusive property unless an exclusive tooling agreement is executed and fully paid for.
- Confidentiality (NDA): We respect the privacy of your custom designs and unreleased collections. We strictly adhere to Non-Disclosure Agreements and will not display your proprietary products at trade shows or share them with competing buyers.
4 Pricing & Payment Terms
Given the dynamic nature of global supply chains and raw material costs, pricing is subject to the following specific terms:
- Quotations: Quotes are typically valid for 30 days. Prices are generally quoted FOB Ningbo/Shanghai unless otherwise specified (e.g., EXW, CIF, DDP).
- Payment Terms: Standard payment terms are 30% deposit via T/T before production begins, and 70% balance against the copy of the Bill of Lading (B/L). Alternative terms (e.g., L/C at sight) may be negotiated for large volume, long-term partners.
- Currency & Taxes: All prices are in USD. The buyer is responsible for all import duties, customs clearance, tariffs, and local taxes in the destination country.
5 Quality Control & Compliance
Tansfit operates under strict ISO 9001 quality management guidelines to ensure zero-compromise reliability for wholesale and retail environments.
Products are manufactured to comply with required international standards including CE, Prop 65, UL, RoHS, and REACH. We conduct 100% incoming material testing and real-time in-process monitoring.
Buyers are welcome and encouraged to arrange third-party pre-shipment inspections (e.g., SGS, Intertek) based on standard AQL levels at their own expense prior to container loading.
6 Shipping, Delivery & Risk of Loss
Standard mass production lead times are 30-45 days post-deposit and final sample approval. Peak season orders may require extended lead times which will be communicated prior to PI issuance.
Risk of loss or damage to the goods passes to the buyer in accordance with the agreed Incoterms (e.g., upon loading the goods onto the vessel for FOB terms). Tansfit shall not be liable for delivery delays caused by force majeure events, including natural disasters, port congestion, global shipping crises, or unexpected raw material shortages.
7 Warranty & Claims
We stand firmly behind the quality of our manufacturing and aim to reduce your procurement risk.
- Defect Claims: Any claims regarding product defects, shortages, or non-conformity must be submitted in writing with supporting evidence (photos, videos, batch numbers, inspection reports) within 30 days of the goods arriving at the destination port.
- Resolution: Verified defective items will be compensated via credit note, replacement in the subsequent order, or provision of free spare parts, at Tansfit's discretion.
